Corporate Lawyer / Legal Consultant [Remote]

We help clients acquire small businesses in the US using SBA and conventional financing, guiding them through valuation, deal structuring, offer preparation, and closing.
Role Summary We're hiring a full-time attorney to support our general legal needs, internal deal team and clients as needed. You’ll regularly be reviewing contracts, flag regulatory exposure and compliance processes. You’ll also support our corporate and regulatory matters dealing in cross-border structures. This is a remote, full-time position, working within our team's operating hours (9am–5pm EST).

What You'll Do

• Review and draft agreements for US and Canadian laws

• Flag legal and regulatory risks across departments

• Track compliance requirements tied to SBA lending and US securities law as they apply to small business M&A.

• Coordinate with outside counsel as needed

• Support internal policy and process documentation as our legal needs evolve

• Build working knowledge of US and Canadian regulatory requirements you don't yet have, this role requires ongoing self-directed learning, not just applying existing expertise

Required Qualifications

• Strong working knowledge of contract law and M&A transaction structures

• Demonstrated ability to learn foreign regulatory frameworks quickly and independently, if you don't already have US securities and lending law background, you'll be expected to build it on the job

• Comfortable working US Eastern-time-aligned hours

Preferred Qualifications (will move you to the higher end of the pay range)

• Prior exposure to US securities law (SEC regulations)

• Experience with loan documentation or small business lending

• Familiarity with Canadian corporate law/governance and/or US corporate law/governance
